SEC FORM S-1

SEC Form S-1 is also referred to as the "Registration Statement Under the Securities Exchange Act of 1993. SEC Form S-1 is the initial registration form for all new securities, given that they meet the criteria, for public companies mandated by the Security and Exchange Commission for the securities to be listed in the national exchange. The data gathered by SEC Form S-1 includes the information on the planned use of capital proceeds, the details on the current business model and competition, the prospectus of the security, the price methodology on the offering, the dilution, if any, that will happen to other listed securities as well as the disclosure of all business dealings among the director, the outside counsel, and the company.
