SEC FORM F-80
SEC Form F-80 is also referred to as the Registration Statement for Certain Canadian Issuers to be Issued in Exchange Offers or a Business Combination. This means SEC Form F-80 is a filing under the Securities and Exchange Commission. The issuers are also required to have had a class of securities listed on a Canadian exchange over a time period of 12 month prior to the filing for the registration of securities offered in business combinations and exchange offers. SEC Form F-80 must also be filed by companies that have a minimum aggregate market value of public float or outstanding shares that amounts to C$75 million. SEC Form F-80 is a ‘wraparound’ form for all the other significant Canadian offering documents required by the securities regulation in Canada and whose securities must also be offered to US shareholders on the same terms with the other shareholders.
