SEC FORM F-8
SEC Form F-8 is also referred to as the Registration Statement Under the Securities Exchange Act of 1933 for Securities of Certain Canadian Issuers to be Issued in Exchange Offers or a Business Combination. This means that SEC Form F-8 is a filing that is required to be filed by Canadian foreign private issuers that are large publicly-traded for the registration of securities offered in business combinations, mergers, and exchange offers that needs a shareholders vote under the Securities and Exchange Commission. SEC Form F-8 may only be utilized in the case that a takeover bid circular is readied before. Securities offered through SEC Form F-8 must also be offered to US shareholders on the same terms with the foreign shareholders. SEC Form F-8 is a ‘wraparound’ form for all the other significant Canadian offering documents required by the securities regulation in Canada.
