LOCK-UP AGREEMENT
A legally binding contract which prohibits the underwriters and company insiders from selling any shares of stock during the transition period for a specified period of time. It usually last for 180 days or six months, but at times, it ranges from four months to one year. This must be disclosed in registration filings, as required by the states' blue-sky laws.
