SEC FORM F-7

SEC Form F-7 is also referred to as the Registration Statement of Securities of Certain Canadian Issuers Offered for Cash upon the Exercise of Rights Granted to Existing Security Holders. This means that SEC Form F-10 is a filing required to be filed by Canadian foreign private issuers that are publicly-traded under the Securities and Exchange Commission. The issuers are also required to have had a class of securities listed on a Canadian exchange over a time period of 12 month prior to the filing. SEC Form F-7 is required for shareholders exercise the right to purchase granted to US shareholders on the same terms with the foreign shareholders. SEC Form F-7 is a ‘wraparound’ form for all the other significant Canadian offering documents required by the securities regulation in Canada.
