DUMMY DIRECTOR

Individual on a firm’s board of directors acting and voting on the interests or on behalf of a non-board member. These are most commonly used when a private firm is in the process of going public, and has to create a board of directors with a small number of seats to meet regulatory requirements. The director has limited responsibility. Upon finding suitable directors, the dummy director quits the post and the company will elect real directors. Also called accommodation director or nominal director.
