TAX-FREE SPINOFF
Act in which a publicly traded firm divests one of its business units as an entirely new firm. The spun off firm becomes its own publicly traded company having its own board of directors, management, and ticker symbol, among others. The company is somewhat tax-free since the parent firm can still divest the business it desires to separate form, but the firm does not incur capital gains tax on the transaction.
