SEC Form N-14 is also referred to as the Registration Statement Under the Securities Act of 1933. This means that SEC Form N-14 is a filing whose purpose is for the registration of certain types of transaction under the Securities Act of 1933 to be file by management investment companies and business development companies to the Securities and Exchange Commission. The transactions mentioned above may involve any transaction under the mentioned Securities Act like a merger where a vote or consent of the shareholders of the company being solicited is not necessary, a public reoffering or resale of any securities that was obtained in a registered offering on SEC Form N-14, an exchange offer for securities of the issuer or another person, or any combination of the mentioned transactions.
