SEC FORM DEF13E3
SEC Form DEF13E3 is a form which is used as an initial preliminary statement for a company or affiliate that is turning private. "Going private" transactions are regulated by SEC rules where SEC Form DEF13E3 is attached with other proxy materials under the same jurisdiction. All in all, the filing involved will detail the transactions including the proposed ownership and financing.
