SEC FORM 2-A
SEC Form 2-A is a filing mandated for the disclosure of sales and the use of specified securities’ proceeds under the Securities and Exchange Commission. Seven copies of SEC Form 2-A must filed every two quarters by each issuer or holder of securities that were sold in reliance with Regulation A provisions. The filing will continue until the time when all the proceeds of the security sale have either been (a) applied oe (b) 30 calendar days following the final sale, whichever comes last with the final filing to known as the ‘final report.’ It is essential to be aware that the provisional investment of proceeds pending the final application does not necessarily constitute an application of the proceeds and also does not necessarily need to be contained in the filing.
